These Terms and Conditions ("Terms") form a legally binding agreement between you and Innovative Lab ("Lence," "we," "us," or "our"), governing your access to and use of the Lence mobile application and related services (the "App"). By creating an account, downloading, or using the App, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the App.

1. Eligibility

You must be at least 16 years old (or the minimum age of digital consent in your jurisdiction, whichever is higher) to create an account. By using the App, you represent that you meet this requirement and that you have the legal capacity to enter into these Terms. If you are using the App on behalf of an organization, you represent that you have authority to bind that organization.

2. The Service

Lence is an AI-driven personal wellness and productivity companion that converts activity and motion data into personalized insights, offers community accountability features, gamified progress tracking, and an augmented reality data visualization. The App's features, including the AI Companion and "Insight for You" module, are provided for general informational, motivational, and educational purposes only.

3. MEDICAL DISCLAIMER — PLEASE READ CAREFULLY

Lence is not a medical device and does not provide medical advice, diagnosis, or treatment.

The App, including all AI-generated insights, streak data, community features, and any content presented within it, is intended for general wellness and informational purposes only and is not a substitute for professional medical advice, diagnosis, or treatment. Always seek the advice of a qualified physician or other health provider with any questions you may have regarding a medical condition, before beginning any exercise program, or before making changes to your diet, sleep, or activity habits. Never disregard professional medical advice or delay seeking it because of something you read or received from the App. If you believe you are experiencing a medical emergency, call your local emergency number immediately. Reliance on any information provided by the App, the AI Companion, or other users of the App is solely at your own risk.

4. Account Registration and Security

  • You are responsible for maintaining the confidentiality of your login credentials, including any biometric authentication configured on your device.

  • You agree to provide accurate, current, and complete information during registration and to keep it updated.

  • You are responsible for all activity that occurs under your account. Notify us immediately at support@lence.fit of any unauthorized use.

  • We reserve the right to suspend or terminate accounts that provide false information or violate these Terms.

5. Community Groups and User Conduct

Lence allows you to create or join small, private community groups. You agree not to use these features to:

  • Harass, bully, threaten, or demean other users;

  • Post false, misleading, defamatory, or fraudulent content;

  • Share another person's personal information without consent;

  • Upload unlawful, obscene, hateful, or infringing content;

  • Attempt to manipulate streaks, leaderboards, or gamification features through fraudulent activity data;

  • Use the App for any unlawful purpose or in violation of applicable local, national, or international law.

We reserve the right, but not the obligation, to monitor, remove content from, or restrict access to community features, and to suspend or terminate accounts that violate this Section, in our reasonable discretion.

6. AI Companion — Additional Terms

The AI Companion chat feature uses artificial intelligence to generate conversational responses. You acknowledge and agree that:

  • AI-generated responses may occasionally be inaccurate, incomplete, or inappropriate, notwithstanding our efforts to design the system responsibly;

  • The AI Companion is not a licensed therapist, counselor, physician, or other professional, and interactions with it do not create any such professional relationship;

  • If you are experiencing a mental health crisis or thoughts of self-harm, you should contact a licensed professional or emergency services in your area immediately, and not rely on the App;

  • Conversations may be processed and, subject to the Privacy Policy, retained to improve the feature and for safety review.

7. Subscriptions, Fees, and Payment (if applicable)

Certain features of the App may be offered on a free or paid subscription basis. Where paid features are offered: prices will be clearly displayed prior to purchase; subscriptions may automatically renew unless cancelled prior to the renewal date, in accordance with the policies of the applicable app store (Apple App Store or Google Play); refunds are subject to the policies of the relevant app store and applicable consumer protection law, including statutory withdrawal rights available to EU and UK consumers under the Consumer Rights Directive, which we will honor as required by law.

8. Intellectual Property

The App, including its software, design, graphics, trademarks, logos, and all content we create (excluding user-generated content), is owned by Lence or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the App for your personal, non-commercial use, subject to these Terms. You may not copy, modify, distribute, sell, lease, reverse-engineer, or create derivative works based on the App without our prior written consent.

You retain ownership of content you submit to the App (such as your profile information or community posts). By submitting content, you grant Lence a worldwide, non-exclusive, royalty-free license to host, store, reproduce, and display that content solely as necessary to operate and improve the App.

9. Third-Party Services

The App may integrate with third-party services such as Apple Health, Google Fit, and sign-in providers. Your use of such services is subject to their own terms and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services.

10. Disclaimers of Warranties

The app is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, to the fullest extent permitted by applicable law.

We do not warrant that the App will be uninterrupted, error-free, secure, or free of harmful components, that any AI-generated insight will be accurate or suitable for your circumstances, or that defects will be corrected. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you, and you may have additional rights under local law, including statutory consumer guarantees that cannot be excluded (for example, under the Australian Consumer Law, EU/UK consumer protection law, or similar African consumer protection statutes).

11. Specific Risk Acknowledgements

In addition to the general disclaimers above, you specifically acknowledge and agree, to the extent permitted by applicable law, that Lence is not responsible for:

  • Loss of data stored only on your device and not synced to your Lence account (see Privacy Policy Section 2.4), including loss caused by device damage, loss, theft, factory reset, or App uninstallation;

  • Decisions you make in reliance on AI-generated insights, streaks, or community content, which are informational only and not professional advice (see Section 3);

  • The conduct, statements, or content of other users within Community groups, though we provide reporting tools and will act on violations of Section 5 that are brought to our attention;

  • Inaccuracies in data sourced from your device's sensors, Apple Health, Google Fit, or other third-party integrations that are outside our control;

  • Service interruptions caused by your device, your internet connectivity, or third-party platforms (e.g., app store outages).

These acknowledgements do not limit any liability that cannot be excluded under applicable law, including liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot lawfully be disclaimed in your jurisdiction (see Section 12 below).

12. Limitation of Liability

To the fullest extent permitted by applicable law, in no event shall lence, its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, data, goodwill, or other intangible losses, arising out of or related to your use of, or inability to use, the app.

To the fullest extent permitted by applicable law, our total aggregate liability to you for any claim arising out of or relating to these Terms or the App shall not exceed the greater of (a) the amount you paid us, if any, in the twelve (12) months preceding the claim, or (b) [USD 100 / local equivalent].

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or other liability that cannot lawfully be excluded (including certain protections under EU/UK, U.S. state, and African consumer protection laws). Where a jurisdiction does not permit some or all of the above limitations, those limitations will apply to you only to the maximum extent permitted by that jurisdiction's law.

13. Indemnification

To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Lence and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your breach of these Terms; (b) your violation of any law or the rights of a third party; or (c) your use or misuse of the App. This indemnification obligation applies only to the extent permitted by applicable consumer protection law in your jurisdiction, and does not apply to disputes governed by mandatory consumer arbitration or small-claims rules that cannot be waived.

14. Termination

You may stop using the App and delete your account at any time via Settings. We may suspend or terminate your access to the App, with or without notice, if we reasonably believe you have violated these Terms, engaged in unlawful conduct, or for operational or legal reasons, including discontinuation of the App. Provisions of these Terms that by their nature should survive termination (including Sections 8, 10, 11, 12, 13, and 16) will survive.

15. Changes to the App and These Terms

We may modify, suspend, or discontinue any part of the App at any time. We may update these Terms from time to time; where changes are material, we will provide notice through the App or by email and, where required by applicable law, seek your renewed consent. Continued use of the App after changes take effect constitutes acceptance, to the extent permitted by law.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of [GOVERNING JURISDICTION — e.g., State of Delaware, USA], without regard to conflict-of-laws principles, except where mandatory local consumer protection law requires application of the law of your country of residence, in which case that law will apply to the extent required.

16.1 Consumers in the EU/UK

If you are a consumer resident in the EU or UK, you may bring proceedings in the courts of your country of residence, and mandatory consumer protections of that country will apply notwithstanding the governing law clause above. EU residents may also access the European Commission's Online Dispute Resolution platform.

16.2 Consumers in the United States

[OPTIONAL — TO BE CONFIRMED WITH COUNSEL: Any dispute arising out of these Terms shall be resolved through binding individual arbitration under the rules of [ARBITRATION BODY, e.g., AAA], except where prohibited by applicable state law, and you and Lence each waive the right to a jury trial and to participate in a class action, to the extent permitted by law. Residents of jurisdictions that prohibit mandatory arbitration or class-action waivers for consumer claims retain all rights available under local law.]

16.3 Consumers in Africa and Other Jurisdictions

Nothing in this Section is intended to override mandatory consumer protection, data protection, or dispute-resolution rights available to you under the law of Nigeria, South Africa, Kenya, or any other jurisdiction in which such rights cannot be lawfully waived or displaced by contract.

17. Severability and Waiver

If any provision of these Terms is found unenforceable or invalid under applicable law, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

18. Entire Agreement

These Terms, together with the Privacy Policy and any additional terms applicable to specific features, constitute the entire agreement between you and Lence regarding the App and supersede all prior agreements and understandings, whether written or oral.
